Welcome to the user agreement (the "Agreement" or "User Agreement") for SoftMemo.com. This Agreement describes the terms and conditions applicable to your use of our products and services. Before you utilize any portion of the SoftMemo.com website, including but not limited to the "members only" area, you must read, understand, and agree to all terms set forth here. If you do not agree with this policy, please do not use the SoftMemo.com website.

The terms "we", "ours", or "us" may be used interchangeably throughout this agreement and refer to SoftMemo.com.

Minimum Age

Services are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors. You must be AT LEAST 18 years old to access the SoftMemo.com website, resources, and services.

Legal Disclaimers

The SoftMemo.com website is provided 'as is' without warranties of any kind, either express or implied, including, but not limited to, implied warranties of title, satisfactory quality and fitness for a particular purpose. SoftMemo.com makes no representation or warranty as to the accuracy, reliability, timeliness or completeness of any material on or accessible through the SoftMemo.com website. Any reliance on or use of such material shall be at your sole risk.

The SoftMemo.com will not be held liable for any person's use or misuse of any portion of this website including but not limited to the download of any product or resource provided herein. Neither shall SoftMemo.com be held liable for any damages incurred to any individual's personal property whether by direct, indirect, incidental, consequential, and the like, by way of making use of any portion of this website, including but not limited to downloading files.

All persons, whether members, or non members, will decide on their own whether or not they wish to participate in any type of activity that may or may not cause damages to their personal property and will not hold SoftMemo.com responsible for any such damages that occur. SoftMemo.com will not be held liable for any interruption in any services provided on this website, whether they occur naturally or not. Neither shall SoftMemo.com be held liable for any actions taken by any individual with respect to any information provided herein. That is the sole responsibility of the individual, and not that of SoftMemo.com.

While each file has been checked individually to be free from error, SoftMemo.com cannot guarantee that every file will be error-free, virus free, or otherwise corruption free. This is the responsibility of the end-user, member, or subscriber to make use of any available virus detection software before said individual opens up said file(s). And you, the end-user, member, subscriber, or site visitor will be responsible for any costs accrued for necessary repairs or corrections for taking the aforementioned action(s). Therefore, SoftMemo.com is not to be held liable for this type of action taken by the end-user, or any similar actions.

Individual Product Licenses

Before selling or distributing any product downloaded from SoftMemo.com, please read through the downloaded files to determine any additional rights or limitations the author may have specified. By downloading and using or selling any or all products, you agree to be bound by any resale rights conditions specified by SoftMemo.com or by the author of a given product. If any of the accompanying terms are broken for said product(s) by any member for any product downloaded herein, it is the sole responsibility of the member, and not that of SoftMemo.com or any of its employees.

If you are the author or creator of a product sold or listed at SoftMemo.com and you believe that the rights listed are not correct, please contact us. 

Income Guarantees

SoftMemo.com makes no claims as to the perceived income capabilities any one member can earn from being a member. As each individual has differing levels of abilities, there is no accurate way to make any such guarantees. Each member understands that they alone have complete control of their earning potential and will not hold SoftMemo.com liable for their earnings or lack thereof.

Privacy Policy

All information, whether personal or otherwise, provided by you, the subscriber(member) to SoftMemo.com will not be shared, rented, given, or otherwise redistributed to any outside parties. Your information will be kept private and secure.

Linking to External Websites

Where links to third party sites are provided, as we do not control these web sites, we cannot advise you on the content or nature of their privacy policies (if they have any). We therefore encourage you to look at the relevant privacy policy posted on any third party sites. We do not have any control over the content on these websites, and we do not accept any liability arising from your use of the links.

Passwords/User ID's

Users agree that they will NOT share or distribute their log in information ( Usernames and Passwords) by email, word of mouth, Usenet, Internet or any other method. SoftMemo.com can, at their sole discretion , terminate membership without notice or refund, any user that shares or distributes login information. SoftMemo.com does not have access to private password information and therefore cannot/will not be able to supply it to you. You can however, have your password emailed to you from our system by using the "Recover Password" feature under our Log in Page.

Non-transferable

Your right to use the SoftMemo.com website is not transferable. Any password or right given to you to obtain information or documents from us is not transferable.

Termination

Violating our Terms Of Use, Copyrights, or any of our licensing restrictions, will result in termination of membership, and forfeiture of all reseller licenses, without notice or refund.

Subscription Cancellation

You may cancel your membership at any time during your subscription. However, no refunds will be given if you cancel your membership after your membership payment has been received. Therefore, you will still have your remaining appropriate time limit left on accessing the members only area after you have cancelled your subscription.

If you cancel your membership, you can re-subscribe at a later date. However, you may, or may not pay a higher rate for your new subscription as the payments for our select plans will increase over time. Or, once the member quota has been reached, may not be able to re-subscribe at a later date but will rather be placed onto a waiting list and then be able to re-subscribe once a new space has opened up.

Refund Policy

Due to the nature of any of our Membership Plans, there will be no refunds of any type allowed after initial purchase has been made by you, the customer(subscriber).

Because there is no way to have you, the member, return any or all of the products offered inside the members only area for download as they are digitally downloaded goods, we cannot, in good conscious, offer a refund as that would be such that you would get all the products for free, which is strictly forbidden within the individual terms of many of the digital products available for download inside the members only area.

There is only one exception to this refund policy and that is, if for some reason, you are over billed for your membership, such as being charged twice without your involvement, then we will consider refunding only the over payment after a full investigation has been conducted.

Terms Subject to Change 

We reserve the right to change these Terms and Conditions, in whole or in part, at any time with or without notice. You should always check these Terms and Conditions prior to using the SoftMemo.com website. Your continued use of the SoftMemo.com website following the posting of changes to these Terms and Conditions will signify your acceptance of those changes.
